Code of Conduct for Contractual Partners

I. Introduction

PKS holding a.s. and its subsidiaries (hereinafter referred to as the 'PKS Group') form a group of legal entities operating in the field of construction in the sense of Article 79 of Act No. 90/2012 Coll., on Commercial Companies and Cooperatives (Business Corporations Act). PKS Group is convinced that ethical and economic values are intertwined and therefore refuses any behaviour that is inconsistent with applicable law or moral and ethical standards. PKS Group requires all employees in different group companies to comply with the laws and ethical rules and to perform their duties properly.
In view of the above, PKS Group accepts the Code of Conduct for Contractual Partners. We expect our partners to respect laws and regulations and to recognize social responsibility in relation to their own business, employees, business partners, the Company and the environment. We believe that all of our suppliers will adhere to these principles in their day-to-day business practice and will ensure the same behaviour in their subcontractors.

II. The text of the Code of Conduct for Contractual Partners

Market behaviour

The Contractual Partners shall comply with the competition laws, anti-corruption law and fair trade principles. They shall not engage in manipulation of contracts and in any form of cartel practices with their competitors. They shall record all financial transactions and keep the books in line with accounting principles.

Relationships with PKS Group's employees

The Contractual Partners shall not offer, promise, or transfer money or other personal benefits to the PKS Group's employees for trade preference. Similarly, the business partners shall not offer valuable gifts or other non-standard incentives. The partners shall ensure that their employees do not offer such benefits and do not accept them. The PKS Group's employees may not receive any personal gifts or benefits that are, by their nature, obviously likely to affect business decision-making within PKS Group; therefore, the Contracting Partners shall not offer such non-standard benefits.

Relationships with the Contracting Partner's employees

The Contracting Partner is committed to observing working hours and paying proper and regular wages. They shall provide equal opportunities regardless of nationality, ethnicity, age, gender, appearance, religion, disability, marital status and sexual orientation. They shall treat all employees with dignity and respect, and shall not tolerate psychological or physical pressure. They shall not employ people under the age of 15 and shall recognize the special needs of employees under the age of 18.The contractual partner undertakes to acquaint its employees and any other subcontractors with the wording of this code of ethics.

 Occupational health

The Contracting Partner shall guarantee occupational safety and health. They shall make every effort to avoid injuries. All employees are responsibly and regularly trained in occupational safety and health. They are constantly striving to improve a working environment that promotes safety and health.

Environmental protection

The Contracting Partner shall comply with valid environmental management system standards and legislation. They shall strive to minimize the impact on the environment and always consider possible risks of their projects in this area. They shall support the environmental thinking of their employees.

Protection of personal data

The Contracting Partner shall treat all personal data in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (General Data Protection Regulation – GDPR) and the Czech adaptation Act on the Protection of Personal Data. They shall protect personal data, store them securely and shall not provide them to anybody else without reason.

Trade secrets and confidential information

The Contracting Partner shall ensure the protection of the PKS Group's confidential information, regardless of whether this information comes from PKS Group, its customers or anyone else.

III. Reporting complaints

Suspected offences or violations of the principles and obligations contained in this Code may be reported by the Contracting Partner and their employees by email or by phoneor by placing the complaint in the mailbox located on the ground floor of the PKS holding a.s. administrative building. The reporting party will be informed of the results of the investigation of the complaint, if possible.
